3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information required for project execution.

• Provide timely approvals, feedback, and required materials.

• Maintain ownership or authorization for any content, images, logos, or trademarks supplied.

• Ensure compliance with applicable advertising and industry regulations.

Delays in approvals or required information may affect project timelines.
 

4. Pricing & Payments

• All pricing is provided through a customized quotation or proposal.

• Payment schedules will be defined before the project begins.

• Invoices must be paid within the agreed payment period.

• Late payments may result in delays, suspension of services, or additional charges where applicable.

• Unless otherwise stated, fees paid for completed work are non-refundable.
   

5. Advertising Budgets

Advertising spend for platforms such as Google Ads, Meta Ads, LinkedIn Ads, or other advertising networks is separate from Nebula Nova Digitals' management fees unless explicitly mentioned in the agreement.
 

6. Project Timelines

Estimated timelines are provided based on the information available at the time of project initiation. Timelines may change due to:

• Delayed client approvals

• Changes in project scope

• Third-party platform delays

• Technical issues beyond our control
   

7. Revisions

Reasonable revisions are included as specified in the project proposal. Requests outside the agreed scope may incur additional charges.
 

8. Intellectual Property

Upon full payment, ownership of the final approved deliverables created specifically for the client will transfer to the client unless otherwise agreed in writing.

Nebula Nova Digitals retains ownership of:

• Internal processes

• Marketing frameworks

• Templates

• Proprietary tools

• Methodologies

• Educational materials
   

9. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information shared during the engagement unless disclosure is required by law.
 

10. Results Disclaimer

Digital marketing outcomes depend on numerous factors including market conditions, competition, customer behavior, advertising budgets, website quality, and search engine algorithms.

Nebula Nova Digitals does not guarantee:

• First-page Google rankings

• Specific keyword rankings

• Fixed traffic numbers

• Guaranteed leads or sales

• Specific advertising performance

We commit to applying industry best practices and continuously optimizing campaigns to achieve the best possible results.
 

11. Third-Party Platforms

Our services may involve third-party platforms including Google, Meta, LinkedIn, YouTube, WordPress, Shopify, Wix, and others.

Nebula Nova Digitals is not responsible for:

• Platform outages

• Algorithm changes

• Account suspensions caused by policy violations

• Changes in advertising policies

• Third-party service interruptions
   

12. Limitation of Liability

Nebula Nova Digitals shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our website or services.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim, unless otherwise required by law.

13. Termination
 

Either party may terminate services by providing written notice according to the agreed service contract.

Any completed work and outstanding invoices remain payable upon termination.
 

14. Website Usage

Users agree not to:

• Attempt unauthorized access to our website or systems.

• Upload malicious software or harmful content.

• Use our website for unlawful purposes.
